ZELTRO GUI — END USER LICENSE AGREEMENT

This agreement is between you and Cane Bay Computers. It covers the Zeltro desktop application ("Zeltro GUI" or "the Software"), including its updates. By installing or using the Software, or by choosing "I agree" when it starts, you accept these terms. If you do not accept them, do not install or use the Software.

Zeltro CLI, the command-line tool the Software works with, is a separate product under its own open-source license (MIT). This agreement does not cover it.

1. PERSONAL USE IS FREE

You may install and use the Software free of charge for personal use: your own projects, hobbies, learning, and study, and use by schools, students, charities and other noncommercial organizations for their noncommercial purposes.

2. COMMERCIAL USE NEEDS A COMMERCIAL LICENSE

"Commercial use" means using the Software in or for a business, or to do paid work, including building or maintaining projects for clients, or developing anything you expect to sell or earn from.

Commercial use requires a Lifetime Commercial License, sold at https://zeltro.ai/commercial at the price published there, paid once. One license:

(a) covers one business and everyone who works in or for it;
(b) covers every current and future version of the Software;
(c) has no expiry, subject to section 8.

You receive a license key beginning "zeltro-gui-key-". It is for your business only. Do not share it outside your business or publish it. We may disable a key that has been shared, published or used in breach of this agreement.

The Software works the same with or without a key. Without one, it shows a reminder that commercial use needs a license. Using the Software commercially without a license is a breach of this agreement, whether or not the reminder is shown.

3. WHAT YOU MAY NOT DO

You may not, and may not let anyone else:

(a) copy, distribute, sell, rent, lend or sublicense the Software, other than installing it on computers you or your business use;
(b) reverse engineer, decompile, disassemble or otherwise try to obtain the Software's source code, except where the law expressly allows it despite this restriction;
(c) remove, disable or work around the license reminder, license checks, or usage and error reporting;
(d) modify the Software or make works based on it;
(e) use the Software to build a competing product.

4. USAGE COUNTS AND ERROR REPORTS

The Software sends us usage counts (which features are used) and error reports. This is required to use the Software and cannot be switched off. Error reports have file paths, usernames, computer names and tokens removed before they leave your computer. Your code, prompts, files, project names and keys are never sent. When a license key is entered, the Software checks it with our license server, sending the key, an install ID (a random identifier made when the Software first runs), the app version and your operating system. Our servers record the IP address each of these comes from, for security, abuse prevention and rough location. The details, including how long anything is kept, are in our privacy policy at https://zeltro.ai/privacy, which forms part of this agreement.

5. THIRD-PARTY SERVICES AND SOFTWARE

The Software can start and operate third-party tools and services, such as AI coding agents, Docker, databases and remote machines you configure. Your use of those is governed by their own terms, and you are responsible for it, including any costs, for what they do to your projects and machines, and for what you ask them to do. The Software includes open-source components under their own licenses, which remain available to you under those licenses.

6. OWNERSHIP

The Software is licensed, not sold. We and our licensors keep all rights, title and interest in it, including all intellectual property rights. Your projects, code and data remain yours.

7. UPDATES

We may release updates, and the Software may offer to install them. Updates are covered by this agreement. We may change these terms for later versions; when they change, the Software asks you to agree again.

8. TERMINATION

This agreement continues until ended. It ends automatically if you breach it, and we may disable any license key used in breach of it. On termination you must stop using the Software and delete it. Sections 3, 6, 9, 10 and 11 survive termination. A Lifetime Commercial License that ends because of your breach is not refunded.

9. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL NOT CHANGE, LOSE OR DAMAGE YOUR PROJECTS OR DATA. KEEP BACKUPS.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR US$100 IF YOU PAID NOTHING. Some places do not allow some of these limitations, and there they apply only as far as the law allows.

11. GENERAL

This agreement is governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-laws rules. The state and federal courts located in South Carolina have exclusive jurisdiction over any dispute arising from it, and you consent to their jurisdiction. You must comply with applicable export laws. If any part of this agreement is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it. This agreement, with the privacy policy, is the entire agreement about the Software and replaces any earlier one. Versions of the Software released under other licenses (up to and including 1.0.0-beta.2, under the MIT License) remain under those licenses.
